Department Store Operator Enters Confidentiality Pact with Arkhouse and Brigade Capital, Signaling Progress in Acquisition Talks
Macy’s Inc has made a significant move by agreeing to share its financial information with Arkhouse and Brigade Capital, signaling potential progress in the investment firms’ $6.6 billion bid to privatize the U.S. department store giant. Previously, Macy’s had rebuffed acquisition offers from the two firms.
The confidentiality pact allows for the exchange of sensitive data, potentially aiding Arkhouse and Brigade in securing debt commitments for financing the deal. Investment bank Jefferies Financial Group has expressed confidence in providing debt financing, while equity commitments have been made by firms like Fortress Investment Group and One Investment Management US.
Shares of Macy’s surged by 3% to $22.09 following the announcement, reflecting investor optimism about the potential deal. Arkhouse and Brigade have raised their offer from $21 to $24 per share and remain open to further increases. However, there is no certainty that negotiations will result in a transaction, cautioned sources familiar with the matter.
As discussions unfold, Arkhouse has also initiated a board challenge against Macy’s, aiming to replace a majority of directors with nine candidates. Meanwhile, Macy’s continues its restructuring efforts, including store closures, to navigate challenges in consumer spending.
