Shares of Warner Bros. Discovery (WBD) and Paramount Skydance (PSKY) surged Monday as investors reacted to signs that a major regulatory obstacle to their proposed $111 billion merger could be nearing resolution.<\/p>\n\n\n\n
Warner Bros. Discovery shares climbed roughly 7%, while Paramount advanced about 5% after reports indicated Paramount had reached a settlement with California officials who sought to block the transaction on antitrust grounds.<\/p>\n\n\n\n
Under the reported agreement, the combined entertainment giant would be required to release at least 30 films in theaters annually. Paramount could face a $30 million penalty for every film it falls short of that target, according to reports citing people familiar with the discussions. Failure to meet the requirement could also force Paramount to divest its 49% stake in Miramax.<\/p>\n\n\n\n
The proposed acquisition has faced significant legal scrutiny. Twelve Democratic state attorneys general and the Writers Guild of America sued to block the combination, arguing it could give Paramount excessive influence across the film and cable television industries.<\/p>\n\n\n\n
The transaction emerged following a bidding battle that included Netflix. Warner Bros. Discovery shareholders ultimately approved Paramount\u2019s revised offer in April, valuing the transaction at approximately $111 billion, including debt.<\/p>\n\n\n\n
