ZOOZ Power (ZOOZ) has secured shareholder approval at its Extraordinary General Meeting to move forward with a $180 million private placement (PIPE) and its bold Bitcoin Treasury Reserve Strategy, marking a historic milestone for the company and global markets.<\/p>\n\n\n\n
The approval covers several key measures, including the issuance of ordinary shares and warrants tied to the PIPE, an amendment to the company\u2019s Articles of Association to expand authorized share capital, and the election of Alberto Franco and Jonas Grossman to ZOOZ\u2019s Board of Directors upon closing. The company also confirmed that necessary Nasdaq approvals are in place to ensure compliance with both Nasdaq and TASE listing standards.<\/p>\n\n\n\n
ZOOZ expects to close the PIPE during the week of September 22, 2025, subject to final documentation and standard conditions. Of the $180 million in funding, $5 million was already secured in the initial placement.<\/p>\n\n\n\n
The centerpiece of this strategy lies in the allocation of roughly 95% of net proceeds, after repayment of promissory notes, to purchase and hold Bitcoin.
