The decision marks the <strong>second failed takeover attempt<\/strong> by CoreWeave in less than a year.<\/p>\n\n\n\n<p>The deal, announced in July 2025, was intended to give CoreWeave access to Core Scientific\u2019s extensive <strong>data center and energy infrastructure<\/strong> to fuel soaring AI and cloud computing demand. However, opposition from major shareholders \u2014 notably <strong>Two Seas Capital<\/strong>, Core Scientific\u2019s largest active investor \u2014 quickly mounted. The firm criticized the sale process, valuation, and <strong>fixed exchange ratio<\/strong>, which it said left shareholders exposed to volatility in CoreWeave\u2019s stock price.<\/p>\n\n\n\n<p>Despite Core Scientific\u2019s board promoting the merger as a pathway to <strong>cost synergies and operational efficiencies<\/strong>, investor resistance proved decisive. Last week, <strong>Institutional Shareholder Services (ISS)<\/strong> also recommended shareholders vote against the deal, arguing the company\u2019s strong post-bankruptcy performance demonstrated that it could <strong>thrive independently<\/strong>.<\/p>\n\n\n\n<p>\u201cWe respect the views of Core Scientific stockholders and look forward to continuing our commercial partnership,\u201d said <strong>Michael Intrator<\/strong>, CoreWeave\u2019s CEO and co-founder, in a statement following the vote.<\/p>\n\n\n\n<p>The market reaction was immediate \u2014 <strong>Core Scientific shares rose<\/strong> in early trading on optimism about its future as a standalone company, while <strong>CoreWeave\u2019s stock dipped nearly 5%<\/strong>.<\/p>\n\n\n\n<p>The collapse of the deal underscores growing investor caution in the AI-infrastructure and crypto-mining sectors, where valuations have surged amid accelerating demand.
