Nukkleus Expands into Defense Sector with Strategic Acquisition of Star 26 Capital

Pioneering Fintech Firm Takes Majority Stake in Key Iron Dome Supplier, RIMON

Nukkleus, Inc. (NUKK), a leader in the fintech space with a legacy in cryptocurrency markets, has made a significant leap into the defense industry by acquiring a 51% controlling stake in Star 26 Capital Inc. This pivotal transaction gives Nukkleus a commanding role in RIMON, a premier Israeli supplier of critical components for the Iron Dome missile defense system and other defense technologies.

The acquisition, finalized on December 15, 2024, was valued at $26 million. The transaction was financed through a mix of cash, promissory notes, Nukkleus common stock, and warrants for additional shares. Furthermore, the deal includes an option for Nukkleus to purchase the remaining equity in Star 26, potentially consolidating its ownership further.

Diversified Defense Capabilities

Through this acquisition, Nukkleus now oversees RIMON’s two primary business lines:

  1. Distribution of Generators, Masts, and Lighting Solutions: RIMON holds exclusive distributorship agreements with leading suppliers, ensuring the availability of high-quality components critical for defense operations.
  2. Development of Tactical Vehicles: RIMON specializes in designing and integrating advanced tactical vehicles, including reconnaissance units, mobile command centers, and satellite broadcast platforms. These solutions serve elite defense forces, intelligence agencies, and the Israeli Defense Forces (IDF), reflecting RIMON’s strategic importance within Israel’s defense ecosystem.

Strategic Pivot to Capitalize on Defense Market Growth

Manny Shalom, the newly appointed CEO of Nukkleus and a veteran in the security industry, described the acquisition as a transformative step for the company. “This merger positions Nukkleus at the forefront of a booming defense industry,” said Shalom.

The strategic pivot is timely, given the surge in global defense investments spurred by geopolitical tensions, including the ongoing war in Ukraine and shifting alliances in the Middle East. Israeli defense firms have experienced rapid growth, with defense indices in Israel surging by 120% and similar indices in the U.S. climbing 38%. Prominent Israeli defense firms such as PARAGON and PROTEGO have also drawn significant interest from global investors, underscoring the potential of this sector.

RIMON’s Role in Israel’s Defense Ecosystem

As a critical supplier to the Iron Dome, RIMON plays an essential role in Israel’s defense infrastructure. The Iron Dome system, renowned for its effectiveness in intercepting short-range missiles, is a cornerstone of national security in a volatile region. Additionally, RIMON’s expertise in tactical vehicle development positions it as a versatile player capable of addressing diverse operational needs for both military and intelligence applications.

A New Chapter for Nukkleus

The acquisition marks a dramatic shift for Nukkleus, which is leveraging its fintech background to diversify into defense, a sector experiencing robust global demand. By acquiring Star 26 and RIMON, Nukkleus aims to establish itself as a prominent player in the defense industry while maintaining the flexibility to capitalize on emerging opportunities.

As geopolitical uncertainty continues to drive investments in defense technologies, Nukkleus’s expansion into this sector positions the company for substantial long-term growth. The combination of RIMON’s cutting-edge capabilities and Nukkleus’s strategic vision signals a new chapter of innovation and profitability for the company.
