Warner Bros Discovery halts the merger with Paramount Global
Sources familiar with the matter revealed that Warner Bros Discovery (WBD) has halted its pursuit of a merger with Paramount Global (PARA) as Paramount’s shares hover near a year-long low. The decision marks a shift after months of deliberations over combining the media giants.
Meanwhile, Skydance Media, spearheaded by David Ellison, continues its due diligence on potential dealings with Paramount Global. Paramount Global has taken proactive steps, establishing a special committee and engaging a financial advisor to evaluate bids for the entire company or specific assets. Notably, media tycoon Byron Allen made a $14 billion bid for Paramount Global recently, although his track record suggests a pattern of bidding without finalizing acquisitions.
Comcast, owner of NBCUniversal, has opted out of acquiring Paramount Global assets but remains open to exploring commercial partnerships. Discussions are underway to explore options like bundling or integrating streaming platforms Peacock and Paramount+, though Paramount Global’s interest in such collaborations remains uncertain amidst ongoing sale deliberations.
Representatives for Comcast, Paramount Global, Skydance Media, and Warner Bros. Discovery declined to provide comments on the matter. The cooling of talks follows initial discussions between Warner Bros. Discovery CEO David Zaslav and Paramount Global CEO Bob Bakish, with more substantial negotiations occurring in January before tapering off in recent weeks.
Warner Bros. Discovery’s shares experienced a 10% dip following earnings and revenue misses, reflecting investor concerns. Similarly, Paramount Global’s stock approaches a year-long low ahead of its upcoming earnings announcement.
